HILLMAN REID PREMIUM SKIN AND HAIR CARE INC. VIDEO LICENSING AGREEMENT

This Video Licensing Agreement ("Agreement") is entered into between Hillman Reid Premium Skin and Hair Care Inc. ("Licensor") and the HR Dropship Cosmetics & Soap app Subscriber ("Licensee") as of date of purchase.

1. GRANT OF LICENSE: Licensor hereby grants Licensee a limited, non-exclusive, non-transferable license to use the videos provided by Hillman Reid Premium Skin and Hair Care Inc. ("Licensed Videos") for the sole purpose of promoting the resale of white-labeled HR products. This license is granted exclusively in connection with Licensee's business operations.

2. SUBSCRIPTION REQUIREMENT: Licensee acknowledges that the use of the Licensed Videos is contingent upon maintaining an active subscription to the HR Dropship Cosmetics and Soaps app. Licensee agrees to promptly renew the subscription as required for the continued use of the Licensed Videos.

3. USE RESTRICTIONS: Licensee agrees not to use the Licensed Videos for any purpose other than the promotion of the resale of white-labeled HR products. Licensee shall not sublicense, sell, distribute, or otherwise make the Licensed Videos available to any third party without the express written consent of Licensor.

4. INTELLECTUAL PROPERTY: Licensee acknowledges that all rights, title, and interest in the Licensed Videos, including any copyrights, trademarks, or other intellectual property rights, belong exclusively to Hillman Reid Premium Skin and Hair Care Inc. Licensee shall not challenge or contest the validity of Licensor's rights.

5. TERM AND TERMINATION: This Agreement shall commence on the Effective Date and continue until terminated by either party. Either party may terminate this Agreement with immediate effect upon written notice if the other party breaches any material term or condition of this Agreement.

6. CONFIDENTIALITY: Licensee agrees to keep confidential all information provided by Licensor, including but not limited to the Licensed Videos and any proprietary information related to the white-labeled HR products.

7. DISCLAIMER OF WARRANTY: Licensor makes no warranties, express or implied, regarding the Licensed Videos, including but not limited to the accuracy, completeness, or fitness for a particular purpose.

8. LIMITATION OF LIABILITY: In no event shall Licensor be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of the Licensed Videos.

9. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

10. USER AGREEMENT: By checking the box on product purchase page, Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Video Licensing Agreement.
